rticle 1 – Definitions

In these Terms, the following definitions apply:

  • Consumer: a natural person acting outside the exercise of a profession or business.

  • Entrepreneur: Wallpanelen, trading as ShilaForge.

  • Distance Contract: a contract concluded under a system organized by the Entrepreneur for remote sale of products and/or services, using only remote communication techniques up to and including conclusion.

  • Right of Withdrawal: the Consumer’s right to cancel the Distance Contract within the Cooling‑off Period.

  • Cooling‑off Period: 14 calendar days after receipt of the product.

  • Durable Medium: any means which enables the Consumer to store information addressed personally to them in a way accessible for future reference and unchanged reproduction.

Article 3 – Applicability

  1. These Terms apply to every offer and Distance Contract between the Entrepreneur and the Consumer.

  2. Prior to conclusion, the Consumer will be given the opportunity to review these Terms and consent to them.

  3. If alternative product or service terms apply, the Consumer may always invoke the provision most favorable to them.

  4. If any provision is void or annulled, the remainder remains in force; the void provision is replaced by one approximating its intent.


Article 4 – Offers & Formation of Contract

  1. All offers are non‑binding. The Entrepreneur reserves the right to modify or withdraw an offer.

  2. A Contract is formed when the Consumer accepts an offer and fulfils any stated conditions.

  3. Upon electronic acceptance, the Entrepreneur will confirm receipt without delay. Until confirmation is received, the Consumer may revoke acceptance.

  4. Each offer includes at least:

    • Full description of products/services

    • Price (excluding VAT and import duties)

    • Any shipping costs

    • Payment, delivery, and execution methods

    • Existence of the Right of Withdrawal

    • Offer validity or price‑guarantee period

    • Other relevant contractual conditions


Article 5 – Right of Withdrawal

  1. The Consumer may cancel a product purchase within 14 days of receipt, without reason.

  2. To exercise this right, the Consumer must notify ShilaForge at support@shilaforge.com before the period expires.

  3. Returned items must be in original condition, unused, and in original packaging; proof of return shipment must be provided.

  4. If the Consumer fails to notify or return within these deadlines, the purchase is final.


Article 6 – Delivery & Risk

  1. Products are delivered to the address specified by the Consumer.

  2. Risk transfers to the Consumer at the moment the products are legally and/or physically delivered to them (or to a designated recipient).


Article 7 – Pricing & Payment

  1. Prices are in EUR, exclusive of VAT and any shipping/import duties, unless stated otherwise.

  2. Payment must be made instantly via the available payment methods.

  3. If the Consumer fails to pay on time, the Entrepreneur may suspend delivery or terminate the Contract, with any costs borne by the Consumer.


Article 8 – Returns & Refunds

  1. Returns must follow the Right of Withdrawal procedure (Article 5).

  2. Once received and inspected, refunds (minus any return shipping costs) will be issued within 10 business days via the original payment method.

  3. Gift cards and sale items are non‑returnable.


Article 9 – Warranty & Liability

  1. ShilaForge guarantees conformity of products with the Contract.

  2. Any defects must be reported within a reasonable period after discovery.

  3. Liability is limited to direct loss up to the invoice value of the delivered products, except in cases of intent or gross negligence.


Article 10 – Governing Law & Disputes

  1. Dutch law applies to all Contracts under these Terms.

  2. Disputes will be submitted to the competent Dutch court, unless mandatory statutory provisions dictate otherwise.
